TERMS AND CONDITIONS OF USE FOR AUTOGRAPHVISUAL.COM

1. Acceptance of Terms

By accessing or using the Autograph Visual platform ("Platform"), you expressly agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all provisions contained herein, you must immediately cease all use of the Platform.

2. User Registration and Account Security

As a condition of using the Platform, you agree to provide complete and accurate registration information including your current phone number and valid email address. You further agree to immediately update your account information by notifying us at info@autographvisual.com should any details change. For security purposes, you consent to receive verification communications through email, text messages (SMS), or phone calls from Autograph Visual or its designated third-party providers. You acknowledge and agree that you are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Age Restrictions and Verification

You represent and warrant that you are at least 13 years of age or the minimum legal age required in your jurisdiction to form binding contracts, whichever is higher. If you are below the legal age of consent in your territory, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Autograph Visual reserves the right to request proof of age verification at any time and may immediately suspend or terminate accounts where age requirements are not met without prior notice or liability.

4. Financial Terms and Revenue Sharing

All photographic content available through the Platform is offered at a fixed price of five United States dollars (USD $5.00) per download. The revenue from each sale shall be distributed as follows: sixty percent (60%) to the content creator and forty percent (40%) to Autograph Visual. Minimum payout threshold is set at thirty United States dollars (USD $30.00). Payment methods shall be determined at Autograph Visual's sole discretion and may include Payoneer, PayPal, or direct bank transfer.

5. Technical Requirements and Maintenance

You acknowledge that use of the Platform requires compatible devices, maintained software, and reliable internet connectivity, all of which remain your sole responsibility. Autograph Visual reserves the right to perform scheduled or emergency maintenance on the Platform with reasonable prior notice where practicable. Such maintenance may result in temporary service interruptions, for which Autograph Visual shall not be liable, and which do not entitle users to refunds or other compensation. Notice of maintenance may be provided through email communication, in-platform notifications, or website announcements.

6. Intellectual Property Rights

All content, materials, and proprietary elements comprising the Platform, including but not limited to logos, visual designs, software code, and documentation ("Platform IP") are the exclusive property of Autograph Visual or its licensors. Platform IP is protected under applicable copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes only. Any unauthorized reproduction, distribution, or commercial exploitation of Platform IP is strictly prohibited.

7. Privacy and Data Protection

Your use of the Platform is subject to Autograph Visual's Privacy Policy, available at https://autographvisual.com/privacy.php, which is incorporated herein by reference. You expressly consent to the collection, processing, and storage of your personal data in Nigeria, regardless of your country of residence. Autograph Visual may share necessary user data with trusted third-party service providers including payment processors, cloud hosting services, and analytics providers to facilitate Platform operations. In compliance with international child protection laws, we do not knowingly collect personal information from users under 13 years of age without verifiable parental consent, and will promptly delete any such information discovered to have been improperly obtained.

8. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. AUTOGRAPH VISUAL SPECIFICALLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL AUTOGRAPH VISUAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR UNAUTHORIZED USE OF CONTENT.

9. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiations between the parties. Should such negotiations fail, both parties agree to submit to binding arbitration administered by the Lagos Court of Arbitration (LCA) in accordance with its current rules. The arbitration shall be conducted in English and the resulting award may be enforced in any court of competent jurisdiction. Notwithstanding this arbitration clause, either party may seek injunctive relief in court to prevent irreparable harm.

10. Modifications and Amendments

Autograph Visual reserves the unilateral right to modify, amend, or replace these Terms at any time. Material changes will be communicated to users via email to the address associated with their account or through prominent Platform notifications. Your continued use of the Platform following such modifications constitutes affirmative acceptance of the revised Terms.

11. Assignment and Transfer

You may not assign, transfer, or delegate any rights or obligations under these Terms without Autograph Visual's prior written consent. Any purported assignment in violation of this provision shall be null and void. Autograph Visual may freely assign these Terms, in whole or in part, to any successor entity or third-party service provider without restriction.

12. General Provisions

These Terms constitute the entire agreement between you and Autograph Visual regarding Platform usage, superseding all prior agreements. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to these Terms. All notices shall be deemed properly given when sent to your registered email address. These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to conflict of law principles.
